He advises national and international corporations on corporate and M&A matters, including due diligence procedures, mergers, acquisitions, purchase and lease of businesses, joint ventures, private equity investments, restructuring, winding-up procedures, IPOs, shareholders' agreements, corporate governance and corporate litigation. Carlo Emanuele Rossi specialises in the antitrust and competition law aspects of agreements and concerted practices, cartels, dominance, merger control and state aids. He assists corporations before the Italian Competition Authority, the Italian Courts competent for the appeal and the EU Commission and Courts in cases of alleged cartels, abuse of dominant position and state aids. Carlo Emanuele Rossi gained a significant experience in franchise, distribution and agency agreements and advised several international corporations in introducing and implementing distribution systems in Italy, as well as domestic companies in expanding their business worldwide. He is experienced in the renewable energy market, particularly assisting clients on the regulatory requirements and commercial practices related to bio-fuels. Carlo Emanuele Rossi is a frequent speaker at national and international conferences and has written extensively on topics concerning his areas of practice. He is recognised as a leading franchising lawyer by the International Who's Who of Business Lawyers and he has been named among Italian antitrust and merger and acquisition top lawyers by Best Lawyers 2010.
