Leonardo Spina is a Partner of CARNELUTTI Law Firm. He is a member of the firm's corporate and M&A department, where his practice focuses on real estate, M&A, and general commercial transactions, both Italian and cross-border.

He has more than 20 years of specific experience in providing legal assistance in the areas of corporate acquisitions and disposals, joint ventures, investments, and international and national commercial arbitration. He advises private or public investors (including universities), investment banks, and private funds on domestic and cross-border transactions, acquisitions.

On several occasions, Leonardo has provided assistance to overseas investors interested in purchasing businesses or commercial assets in Italy.

He has also assisted leading hotel chains and tour operators in the acquisition of single real estate properties or hotel businesses in Italy and in the subsequent formation of joint ventures with the companies selected to develop and operate the relevant projects.

Leonardo has also accrued a broad experience in the area of art law having assisted - among others - the most important Private Collection of futurist and Italian avant-garde works of the early 1900s (including works by Boccioni, Balla, CarrĂ , Morandi, and Modigliani) by preparing the contractual documentation necessary to allow the free loan of the collection to one of the most popular museums located in Milan.

 

Leonardo obtained his degree in 1999 from the University of Milan and was admitted to the Italian Bar in 2003.

He is fluent in English in addition to his native Italian.

  • Advising the owners of a leading company in the design and supply of home furnishing solutions, products and services for high-profile customers on the sale of a majority stake to a private equity fund of an Italian independent company that manages private equity funds, focused on Italian SMEs.
  • Assisting leading asset management companies, specializing in real estate funds, in the acquisition, disposal and lease of important properties located in Italy.
  • Assisting a primary Italian banking group in negotiating a joint venture agreement in the real estate facility management industry.
  • Assisting the shareholders of a primary Italian player in the design and production of valves for oil, chemical, petrochemical, pipeline, natural gas and water industries with off-shore and in-shore plants in the sale of its entire share capital to a multinational group leading the relevant markets worldwide.
  • Assisting a US primary company operating in the production and distribution of medical and emergency devices in establishing and developing its Italian subsidiary.
  • Assisting an important middle-east entrepreneur in the acquisition of a very well-known Italian fashion brand.
  • Assisting a Private Museum and Archive owning significant collections of artworks of a well-known Italian artist in all legal matters including custody, preservation, shipping and restoration of works of art.

Cecilia Cagnoni Luoni and Leonardo Spina will be keynote speakers at the workshop organized by the University of Trento. The purpose of the workshop is to provide updates on the market involving Europe and the USA in the political and economic scenario that has developed in the last 12 months. Legal, corporate and tax issues will be addressed with specific reference to more representative or significant deals closed in recent months. The workshop encourages dialogue among professionals, companies, and in-house legal departments with a view to an internationalization process targeted to the United States.
