Cecilia Cagnoni Luoni is of counsel to CARNELUTTI Law Firm. She is a member of the firm’s corporate and M&A department, where her practice focuses on cross-border and Italian mergers and acquisitions, corporate and commercial contracts.
Cecilia has also acquired extensive experience in the media, telecommunications and entertainment industries, advising leading European clients on various business transactions.
She has lectured on corporate law at LIUC, University of Castellanza and on M&A transactions at the University of Insubria, in Varese. Cecilia has contributed to studies for the European Community (DG Education and Culture) on the impact in Italy of the regulations on TV advertising as contained in the Television Without Frontiers Directive, and on the impact of advertising and teleshopping on minors under Italian regulations.
Before joining Carnelutti, she worked at the Birmingham office of the international law firm Wragge & Co. She was admitted to the Italian Bar Association in 1997.
She was selected by PWA Milan as a member of the "Ready-for-board women". Also in 2023, she has been recognised by Best Lawyers among "The Best Lawyers in Italy" for her work in Corporate Law.
She speaks English and French, in addition to Italian.

  • Assisting a leading French television broadcaster in the acquisition of television broadcasters and digital platforms in Italy, and, after the acquisition, in drafting and negotiating agreements with technology suppliers and content providers, as well as contracts for the production and distribution of audiovisual programs.
  • Assisting a consortium of four Italian banks in the acquisition of 198 branches from a leading Italian banking group.
  • Assisting a leading Italian fashion company in drafting supply, distribution, agency, franchise and license agreements.
  • Advising one of the leading European manufacturers of tissue products on the acquisition of the Italian subsidiary of a world-level industry leader.
  • Advising a French banking group on a joint venture with an Italian financial institution for a common project regarding consumer credit.
  • Advising a world leader in the production of digital security solutions on a joint venture deal with an Italian company for the delivery of microchip card customization services to Italian banks and financial institutions.
  • Assisting an Italian pharmaceutical group in the sale of a minority stockholding to an Italian primary strategic fund.

Post COVID Cross-Border Deals and M&A: Europe and the USA. Updates

Cecilia Cagnoni Luoni and Leonardo Spina will be keynote speakers at the workshop organized by the University of Trento. The purpose of the workshop is to provide updates on the market involving Europe and the USA in the political and economic scenario that has developed in the last 12 months. Legal, corporate and tax issues will be addressed with specific reference to more representative or significant deals closed in recent months. The workshop encourages dialogue among professionals, companies, and in-house legal departments with a view to an internationalization process targeted to the United States.
